First you need to be logged into an account that has Administrative rights.
Go to Start - Control Panel - Administrative Tools/Services.

Double click the 'Messenger Service' and change 'Automatic' to 'Disabled', then click the 'Stop' button.

This will stop those annoying pop-ups!
